Campaign Owner Agreement

(a) "Campaign": Any idea, cause, effort, project or event for which a Campaign Owner wishes to raise funds on the Platform. A Campaign typically runs for a period of 14 to 90 days (or such other period as GEG approves). Campaign Owners may not start campaigns that involve loans, investments, equity, shares, profit-sharing, interest, illegal activities, criminal investigations, pure personal living expenses, purchase of real estate for speculation, or pre-selling stakes/holidays in properties not yet owned or built by the Campaign Owner. (b) "Campaign Owner": Any individual, company, partnership, organisation, trust, NGO or other entity seeking to conduct a Campaign on the Platform. (c) "Campaign Page": The page(s) on geteverygoods.com where Funders may contribute and where promotional materials (images, information, graphics, etc.) for the Campaign appear. GEG holds sole discretion to allow or disallow campaign materials. (d) "Funder" / "Backer": Any person or entity that supports a Campaign by contributing funds. (e) "Funding": Financial contributions received from Funders toward a Campaign (via payment methods enabled on the Platform, including but not limited to UPI, cards, net banking and wallets through GEG's payment partners such as Razorpay). (f) "Funding Goal": The financial target of a Campaign. GEG may allow collections up to the goal, above the goal (stretch goal), or flexible amounts as approved. (g) "Funding Period": The start and end dates during which contributions may be made. (h) "Intellectual Property Rights": All copyright, trademark, trade name, trade secret and other intellectual property rights of every kind, whether arising by law, contract or otherwise. (i) "Platform": The website www.geteverygoods.com and related GEG apps, APIs and services. (j) "Total Funds Raised": Total Funding net of refunds at the end of the Funding Period (or earlier cut-off as applicable). (k) "User": Any person who registers or uses the Platform to apply for, follow, fund or manage a Campaign. (l) "Visitor": Any person who accesses any part of the Platform or a Campaign Page. (m) "Shopping Voucher Reward": Where offered by GEG, a Funder may receive a GEG shopping voucher equal (or as disclosed) to their contribution after a lock period, usable on the GEG store subject to voucher terms. This is a platform benefit and is not equity, interest, profit share or a financial return.

GEG and the Campaign Owner shall agree which model applies at approval time: (a) Fixed / All Or Nothing (AON): Funds are released to the Campaign Owner only if the Funding Goal is met by the end of the Funding Period. If not met, contributions are refunded to Funders (subject to payment-gateway rules). Payment processing charges may be borne by the Campaign Owner as disclosed by GEG. (b) Flexible / Keep What You Get (KWYG): Total Funds Raised may be released even if the Funding Goal is not fully met, subject to GEG approval, deductions and applicable law. (c) Application-based campaigns on GEG: All campaigns require prior application and GEG admin approval before going live. GEG may refuse any application without assigning reasons. Default commercial model for standard GEG store crowdfunding is Flexible / KWYG unless GEG notifies otherwise in writing (including email).

The Campaign Owner is solely responsible for accurate application content and Campaign Page materials in the format provided by GEG, and must comply with Indian and applicable international laws including intellectual property, advertising and consumer laws. The Campaign Owner must not upload third-party copyrighted material without rights. GEG may require changes before approval and may reject or take down any Campaign at its discretion. Campaigns may be withdrawn by the Campaign Owner before the end of the Funding Period only with GEG's written consent and subject to refund rules. Placement of a Campaign on the Platform is solely at GEG's discretion. Submitting an application does not guarantee approval or any Funding.

During the live Funding Period of a Campaign on GEG, the Campaign Owner shall not run the same Campaign (same project and substantially same pitch) on another crowdfunding platform in India, unless GEG agrees in writing.

Funding Goal and Funding Period are set before the Campaign goes live and generally cannot be changed without mutual written agreement with GEG. Minimum Funding Period is typically 10 days; maximum as mutually agreed (commonly up to 90 days). GEG does not guarantee any funding. GEG may delay, withhold, cancel or refund Funding without liability if it cannot verify information to its satisfaction, or to comply with law, fraud prevention or payment-partner rules. If the Campaign Owner requests cancellation before the Funding Period ends (and GEG agrees), collected funds may be refunded and gateway charges may be borne by the Campaign Owner.

Where practical, the Campaign Owner should credit Get Every Goods as the online crowdfunding / marketplace partner in Campaign promotions. Use of GEG logos requires prior approval. On a successful Campaign, GEG may use the Campaign Owner's name, brand and Campaign materials as an example of a successful campaign in marketing, PR and case studies.

The Campaign Owner is solely responsible for marketing the Campaign. GEG is a technology facilitator and marketplace; GEG does not guarantee Campaign success and does not undertake mandatory marketing obligations unless separately agreed in writing. All risk of success or failure of the Campaign rests with the Campaign Owner.

Unless GEG expressly enables and the Campaign Owner holds all required registrations (including under FCRA where applicable), foreign contributions may be restricted or disallowed. Campaign Owners must ensure compliance with Indian foreign contribution and forex laws. GEG may block non-compliant payments.

Funders may contribute via methods enabled on the Platform (UPI, cards, net banking, wallets, etc. via GEG payment partners). Payment gateway / processing charges and any GEG platform fees will be as disclosed at approval or on the Platform (and may change). Such charges are in addition to applicable taxes. Funding may be held or settled as per GEG's payment-partner workflows. Funder refunds, if any, follow Platform and gateway rules. Typically, refund requests may only be considered within a short window after contribution (e.g. 72 hours), and no refunds may be available in the last 14 days of a Campaign or for Campaigns of 14 days or less — exact rules as published by GEG at the time of the Campaign. On refunds, gateway charges already incurred may be borne by the Campaign Owner.

The Campaign Owner may offer non-financial rewards (products or services) only if approved by GEG. Rewards must not be financial returns (profit share, interest, equity, loans, investments, etc.). Prohibited rewards include illegal items, tobacco, drugs, weapons, unsafe products, raffles/contests that violate law, counterfeit goods, or anything infringing third-party IP. GEG Shopping Voucher Rewards (where applicable) are governed by GEG voucher terms (lock period, validity, non-transferability, exclusions). GEG is not responsible for Campaign Owner-promised physical rewards quality, delivery or legality — that remains solely the Campaign Owner's obligation. The Campaign Owner acknowledges Funders or third parties may take legal action if promised rewards are not delivered.

GEG may provide Campaign performance data and limited Funder information needed to run the Campaign, subject to GEG Privacy Policy and law. Contact details of Funders who received refunds may be withheld. The Campaign Owner must use Funder data only for the Campaign and lawful communications, and must not sell or misuse data. The Campaign Owner shall post progress updates and use-of-funds feedback as committed in the application / Campaign Page.

The Campaign Owner represents and warrants that: (i) All information provided is true and accurate; (ii) They are 18+ (or have guardian consent) and duly authorised to bind any entity; (iii) The Campaign is lawful; (iv) Contributions will be used solely for the stated purpose; (v) The Campaign does not violate third-party rights or legal duties; (vi) Any rewards comply with law and this Agreement; (vii) Funder/User data will not be misused.

The Campaign Owner retains ownership of original content they submit, and warrants they have all rights to publish it and that it does not infringe third-party rights. By submitting content, the Campaign Owner grants GEG a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable licence to use, host, display, modify (for formatting), distribute and promote such content in connection with the Platform and GEG marketing (including social media and offline materials). The Campaign Owner is solely responsible for content and indemnifies GEG against related claims.

Fees for each Campaign will be as disclosed by GEG at the time of approval (email or dashboard), and may include: (a) One-time setup / processing fee (if any); (b) Platform / contract fee as a percentage of Total Funds Raised plus applicable taxes; (c) Payment gateway processing charges (as charged by Razorpay or other partners) plus taxes; (d) Pre-agreed third-party marketing, content or advertising costs. Unless otherwise agreed, net settlement to the Campaign Owner is typically initiated after the Campaign ends, subject to refund windows, chargebacks, verification and deductions. GEG may hold funds longer if fraud, dispute or legal review is required. Current fee schedules may be updated by GEG; the schedule confirmed at approval controls that Campaign.

All taxes on funds raised (income tax, GST, TDS, or otherwise) are solely the Campaign Owner's responsibility. GEG is not the Campaign Owner's tax advisor and is not liable for the Campaign Owner's tax obligations. Where law requires GEG to deduct tax at source, GEG may do so.

Subject to deductions, verification and this Agreement, net proceeds may be transferred to the Campaign Owner's designated bank account. For AON Campaigns that miss the Funding Goal, funds are refunded to Funders and not paid to the Campaign Owner (gateway costs may still apply as disclosed). GEG is a technology platform enabling Campaign Owners to connect with Funders. GEG is not itself soliciting donations as the end beneficiary (except for its disclosed fees).

Funds must be used solely for the purpose stated on the Campaign Page / application. Misuse may lead to legal action by Funders and/or GEG, cancellation of Campaign, refunds, account suspension and reporting to authorities.

The Campaign Owner shall use best efforts to complete the project by any stated deadline and keep Funders updated on progress, delays and use of funds. Feedback may be published on the Platform at GEG's discretion.

GEG may refuse eligibility, cancel accounts, or cancel/refuse any Campaign at any time with or without cause. The Campaign Owner must then stop using GEG branding for that Campaign.

GEG may: (a) change the Platform without notice; (b) reject, interrupt, remove or suspend any Campaign; (c) take actions needed to operate and market the Platform; (d) allow Users to share Campaign content as enabled by the product; (e) remove offensive or unlawful content; (f) limit access to all or part of the Platform.

GEG owns all rights in the Platform, branding and related materials. The Campaign Owner receives only a limited, revocable, non-exclusive licence to use the Platform for an approved Campaign. No other IP rights are granted.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ABILITY TO RAISE FUNDS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEG SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, LOSS OF BUSINESS, LOSS OF INCOME, OR SIMILAR LOSSES, WHETHER ARISING FROM USE OF THE PLATFORM, CAMPAIGN FAILURE, TECHNICAL OUTAGES, OR DISPUTES BETWEEN CAMPAIGN OWNERS AND FUNDERS. GEG does not endorse Campaigns, oversee project performance, or guarantee any funding amount.

The Campaign Owner shall indemnify and hold harmless GEG, its officers, directors, employees and agents from claims, damages, costs and reasonable legal fees arising from the Campaign Owner's breach of this Agreement, content, misuse of the Platform, or infringement of third-party rights.

Non-public technical, commercial or Funder-related information received from GEG is confidential and must be protected with reasonable care, except for information that is public, independently known, received from a free source, or required by court order (with prompt notice where lawful).

GEG may terminate this Agreement by 15 days' email notice (or immediately for breach, fraud or legal risk). The Campaign Owner may terminate by 15 days' email notice subject to settling dues and Funder obligations. Surviving clauses include IP licences, indemnity, limitation of liability, confidentiality and dispute resolution.

Payment processors and other partners have their own terms. By using the Platform, the Campaign Owner also agrees to those terms as applicable.

If any provision is invalid, the remainder continues in force. Invalid provisions shall be modified to best achieve the original intent within applicable law.

The Campaign Owner may not assign this Agreement without GEG's written consent. GEG may assign its rights and obligations (including in a sale of the Platform).

Parties shall first attempt amicable resolution within 30 days of a written Dispute Notice. Failing that, disputes shall be referred to arbitration by a sole arbitrator appointed by GEG under the Arbitration and Conciliation Act, 1996 (as amended), in English, seated in India at a venue designated by GEG. The award shall be final and binding. Either party may seek interim injunctive relief from competent courts.

This Agreement is governed by the laws of India. Subject to arbitration, courts in India competent to hear disputes concerning GEG shall have jurisdiction.

GEG may amend this Agreement or the Platform at any time. Continued use of the Platform or new applications after changes are posted constitutes acceptance of the updated terms for future activity. For a Campaign already live, material fee changes require notice as stated at approval unless required by law.

By accepting, the Campaign Owner confirms they have read and understood this Agreement and agree to be bound by it, and by GEG's Terms & Conditions and Privacy Policy (available on the Platform), which form part of this Agreement. In case of conflict, GEG's determination of the controlling interpretation shall apply for Platform operations, without limiting mandatory consumer rights under law.

This Agreement becomes effective when the Campaign Owner accepts it (including by checking the acceptance box on the crowdfunding application form and submitting the application).

This Agreement, together with GEG Terms, Privacy Policy and any written approval email for a specific Campaign, constitutes the understanding between the parties regarding Campaign Owner crowdfunding on GEG, and supersedes prior informal discussions on the same subject.
